Supervisory Board
|
Acting in the best interests of the VAB Bank’s shareholders, the Supervisory Board (Board of Directors) oversees and monitors general business of the Bank, takes part in the decisions that may have a fundamental impact on the Bank’s operation, assets and liabilities and financial standing. »
The Supervisory Board appoints and removes the members and the Chairperson of the Management Board, determines their remuneration, selects external auditors, makes decisions on the establishment and termination of the Bank’s subsidiaries, branches, approves annual budget and business-plans, organizational chart, approves large loans, etc. For more detailed information on the responsibilities and authorities of the Supervisory Board please see the Charter of the Bank.
The Supervisory Board meets regularly throughout the year, but no less than once a quarter.
Members and the Chairperson of the Supervisory Board are elected by the General Meeting of the Shareholders out of the shareholders or their representatives. The number of the Supervisory Board members cannot be less than four people and more than six people. The decisions are made by a simple majority, or unanimous voting if the number of Supervisory Board members is four.
Currently, both major shareholders are equally represented on the Supervisory Board, with two members from each party.

Member of the Supervisory Board since 1996. Over 15 years of experience in financial business. Previously was involved in engineering, innovation projects in medical organizations, IT investment projects in Hungary.
Education: Moscow State Technical University n.a. Bauman, Russia (major in Finance and Credit); Kyiv Higher Banking School of International Centre of Market Relations and Entrepreneurship, Ukraine.

Liudmila Maksimova
Member of the Supervisory Board
Member of the Supervisory Board since 1998. Over 30 years of experience, including over eleven years of managerial experience, working with VAB Bank, Barclays Bank PLC (Moscow office), IBM Eastern Europe/Asia, etc.
Education: Moscow State Institute of Foreign Relations, Russia (major in International Economic Relations).

Ivo Gueorguiev
Member of the Supervisory Board
Member of the Supervisory Board since 2005. More than 18 years of experience, including Financial Institutions Group in European Bank for Reconstruction and Development (UK), Bankas Hermis (Lithuania), Baltics/Belarus Group in EBRD (UK), TBIF Financial Services BV, etc.
Education: University of Alberta, Canada (MBA); University of National and World Economy, Bulgaria (major in International Business).

Izchak Kanes
Member of the Supervisory Board
Member of the Supervisory Board since 2005. More than 8 years of experience on different managerial positions in CEE and CIS countries including country manager for Slovak Republic for TBIH Financial Services Group N.V., country manager for Russia for TBIH Financial Services Group N.V.
Education: Netanya Academic College, LLB (major in corporate law).
